Terms of service

These Terms of Service ("Terms") govern your access to and use of SlabSignal, the AI construction risk command center provided by SlabSignal Tech, INC ("SlabSignal", "we", "us") at slabsignal.co. By creating an account, accepting an invitation to a workspace, or using the service, you agree to these Terms.

If you are using SlabSignal on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the service.

You are responsible for the accuracy of account information, the confidentiality of credentials, and all activity that occurs under your account. Notify support@slabsignal.co promptly of any suspected unauthorized access.

SlabSignal is organized around workspaces owned by a customer organization. Workspace administrators are responsible for:

• Inviting, managing, and removing members and roles.
• Configuring projects, integrations, and access permissions.
• Ensuring authorized users comply with these Terms.
• Responding to data access, correction, and deletion requests from members.

Workspace administrators may have visibility into member activity, project data, and AI outputs created in the workspace.

Each user must access SlabSignal under their own account. Sharing credentials is not permitted. Workspace administrators are responsible for ensuring that authorized users comply with these Terms and any internal policies of the customer organization.

You agree not to:

• Use the service in violation of applicable law or third-party rights.
• Upload content you do not have the right to share.
• Attempt to access data belonging to other customers or workspaces.
• Reverse engineer, scrape, or interfere with the operation of the service.
• Use the service to build a competing AI construction risk product.
• Send malware, abusive content, or unsolicited communications through the service.

Paid plans may be offered. If a paid plan applies to your workspace, the applicable fees, billing cycle, and seat counts are described in your order form, plan page, or in-product purchase flow. Fees are billed in advance and are non-refundable except where required by law or expressly stated. You authorize SlabSignal and our payment processor to charge the payment method on file for applicable fees and taxes.

We may change pricing for future billing periods on reasonable notice. Continued use after a pricing change constitutes acceptance.

You may cancel a paid plan from your workspace billing settings or by contacting support@slabsignal.co. Cancellation takes effect at the end of the current billing period. We may downgrade access to features that exceed the limits of your selected plan.

You retain all rights, title, and interest in the content you upload or connect to SlabSignal, including project schedules, budgets, captures, change orders, supplier updates, documents, and field reports ("Customer Content").

You grant SlabSignal a limited, worldwide, non-exclusive, royalty-free license to host, store, transmit, display, process, and create derivative works of Customer Content solely as necessary to operate, secure, support, and improve the service for you, including generating AI outputs inside your workspace.

We do not use Customer Content to train third-party foundation models, and we do not sell Customer Content. See our Privacy Policy for details.

SlabSignal uses AI to generate risk summaries, schedule and cost observations, change-order analyses, supplier risk notes, safety signal flags, and recovery-plan suggestions ("AI Output"). AI Output is generated from Customer Content and other inputs you provide.

AI Output is decision-support, not a decision. AI Output may be incomplete, out of date, or incorrect. You are responsible for reviewing AI Output with qualified construction professionals before relying on it for any operational, scheduling, contractual, financial, or safety-related decision.

As between you and us, you own AI Output that is generated specifically for your workspace, subject to the rights you grant us in these Terms.

SlabSignal is a software product. It does not provide engineering opinions, legal advice, design or constructability sign-off, regulatory guidance, insurance advice, structural calculations, code compliance opinions, or professional construction safety direction. Any decisions on means, methods, sequencing, safety, contracts, or compliance must be made by qualified professionals who carry the appropriate licensure and responsibility.

We work to keep SlabSignal available, but the service is provided on an "as available" basis. We may modify, add, or remove features, and we may schedule maintenance or experience unplanned downtime. Specific availability commitments, if any, are described only in a written order form or master agreement signed by both parties.

SlabSignal can connect to third-party services that you choose to enable. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or behavior of third-party services. You are responsible for ensuring you have the rights to connect any external system to SlabSignal.

Each party may receive non-public information from the other. The receiving party will protect the discloser's confidential information using at least the same standard of care it uses for its own confidential information, and will use it only to perform under these Terms. Customer Content is treated as confidential information of the customer.

If you send us suggestions or feedback about SlabSignal, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve our products and services, without obligation to you.

We may suspend or terminate access if you breach these Terms, if your use poses a security or operational risk, or if required by law. You may stop using the service at any time. Upon termination, your right to access the service ends. Provisions that by their nature should survive termination will survive, including ownership, confidentiality, disclaimers, limitation of liability, and governing law.

Except as expressly stated in a signed written agreement, SlabSignal is provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade. We do not warrant that AI Output will be accurate, complete, or suitable for any particular construction decision.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or relating to these Terms or the service, even if advised of the possibility of such damages. Each party's total cumulative liability arising out of or relating to these Terms will not exceed the greater of (a) the amounts you paid to SlabSignal for the service in the twelve months preceding the event giving rise to liability, or (b) one hundred US dollars.

You will defend, indemnify, and hold harmless SlabSignal Tech, INC and its personnel from and against third-party claims and resulting damages, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your Customer Content, (b) your use of the service in violation of these Terms or law, or (c) decisions made or actions taken on a construction project based on AI Output without appropriate human review.

We may update these Terms as the service evolves. Material changes will be communicated through the application or by email to workspace administrators. Continued use after a change takes effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Commonwealth of Virginia, United States, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute that is not required to be resolved otherwise by law.
